Terms of Service

By accessing or using Wittly ("the Service"), operated by Wittly, Inc. ("we," "us," or "our"), you agree to be bound by these Terms of Service ("Terms"). If you do not agree to these Terms, do not use the Service.

We may update these Terms from time to time. Continued use of Wittly after changes are posted constitutes acceptance of the updated Terms. We will notify you of material changes through the app or via email.

You must be at least 13 years old to use Wittly. If you are under 18, you represent that your parent or legal guardian has reviewed and agreed to these Terms on your behalf. By using the Service, you represent and warrant that you meet these eligibility requirements.

Wittly Match has a higher age requirement. You must be at least 18 years old to create a Match profile, appear in Match decks, or use Match chats that start from a mutual Like. By using Match, you represent that you are 18 or older. We may ask for date of birth to verify age and may suspend Match access if we believe you do not meet this requirement.

To use certain features of Wittly, you must create an account. When creating an account, you agree to:

• Provide accurate, current, and complete information
• Maintain the security of your password and account
• Accept responsibility for all activity that occurs under your account
• Notify us immediately of any unauthorized use of your account

We reserve the right to suspend or terminate accounts that violate these Terms or are inactive for an extended period.

4.1 Your Content

You retain ownership of content you create and post on Wittly, including memes, images, photos, audio, captions, comments, and any other material you post in any format ("User Content"). By posting User Content, you grant Wittly a non-exclusive, worldwide, royalty-free, sublicensable license to use, display, reproduce, distribute, and modify your User Content in connection with operating and improving the Service.

You represent that you own your User Content or otherwise have all rights necessary to grant this license, and that your User Content does not infringe anyone else's rights.

4.2 Content Responsibilities

You are solely responsible for your User Content. You agree not to post content that:

• Infringes on intellectual property rights of others
• Contains illegal, harmful, threatening, abusive, or harassing material
• Includes sexually explicit content involving minors
• Promotes violence, discrimination, or hatred against individuals or groups
• Contains malware, spam, or deceptive content
• Impersonates another person or entity
• Violates any applicable law or regulation

4.3 Meme Templates

Wittly provides meme templates for use within the Service. These templates are licensed for personal, non-commercial use within Wittly. You may share memes created with these templates on other platforms. You may not sell, redistribute, or claim ownership of the templates themselves.

4.4 Content Moderation

We reserve the right to remove or restrict any User Content that violates these Terms — including the content rules in Section 4.2 — without prior notice. Repeated violations may result in account suspension or termination. Content that infringes copyright is handled under our Copyright Policy, which includes a repeat infringer policy.

You can report content in the app. Reporting sends the content to our moderation queue for human review.

Wittly allows users to repost content created by other users. When you repost, the original creator is automatically attributed. You may not remove or obscure attribution on reposted content.

Some optional features use location. You choose when to enable them.

6.1 Mood Map

Mood Map requires you to share your location. By enabling Mood Map, you agree that your approximate location and mood will be visible to other users. Your exact location is never stored. We apply a random offset of approximately 500 meters before saving. You may disable this feature at any time in Settings.

6.2 Wittly Match

If you opt into Wittly Match and share location for that feature, we store a fuzzed (approximate) location to calculate distance and filter who appears in your deck. Other Match users may see approximate distance and any city or country label you provide — not your exact GPS pin. You can adjust your maximum distance and pause or leave Match in the app.

Wittly reserves the right to disable location features for any user or remove location data if we determine it is being used inappropriately.

Wittly Match is an optional feature that helps you meet people who share similar meme humor. It is separate from the meme studio and main social feed. You can use Wittly without Match.

7.1 How Match works

• You create a Match profile (photos, bio, preferences, and other details you choose to provide).
• We may use your meme posts, engagement, and an optional Vibe Check quiz to estimate humor compatibility with other users.
• You swipe Like or Nope on profiles in a deck. If both people Like, a match may be created and you may chat through Wittly.
• Match may show sponsored or advertising slots in the deck.

7.2 Your responsibilities

When using Match, you agree to:

• Provide accurate information, including information used for age verification
• Use photos and bios that you have the right to share, and that do not misrepresent who you are in a deceptive way
• Treat other users with respect — no harassment, threats, sexual coercion, stalking, or unwanted contact after someone Nopes, blocks, or asks you to stop
• Not use Match to find, track, or harm people offline using location or profile clues
• Not scrape profiles, automate swipes, or manipulate matching
• Use block and report tools when needed, in good faith

7.3 Safety and enforcement

We may remove Match content, pause Match access, or suspend accounts that violate these Terms or our safety rules. We may review reports and take action we reasonably believe is appropriate. Match is not a guarantee of safety; use caution when meeting anyone and never share financial information or sensitive personal data with people you do not trust.

7.4 Nature of the feature

Match may be used to find friends or dating connections, depending on preferences you set. Wittly does not guarantee matches, conversations, or outcomes. Humor matching is approximate and may change as your activity changes.

When using Wittly, you agree not to:

• Use the Service for any illegal purpose
• Harass, bully, or intimidate other users
• Create multiple accounts to evade bans or rate limits
• Use automated tools, bots, or scrapers to access the Service
• Attempt to gain unauthorized access to our systems or other users' accounts
• Interfere with or disrupt the Service or its infrastructure
• Collect user information without consent
• Use the Service to distribute unsolicited advertising or spam
• Reverse engineer, decompile, or disassemble any part of the Service
• Use Mood Map, Wittly Match, or location features to identify, locate, stalk, or target individuals
• Use Wittly Match if you are under 18, or help someone under 18 create a Match profile

The Wittly name, logo, app design, and all associated branding are owned by Wittly, Inc. and protected by intellectual property laws. You may not use our trademarks, logos, or branding without prior written permission.

The Service, including its software, features, and documentation, is protected by copyright and other intellectual property laws. Nothing in these Terms grants you any right to use our intellectual property except as expressly permitted.

We respect intellectual property rights and expect our users to do the same. If you believe content on Wittly infringes your copyright, you may submit a notice under the Digital Millennium Copyright Act (DMCA) to our designated copyright agent:

Your notice must include:

• Identification of the copyrighted work you claim is infringed
• Identification of the infringing material and its location on Wittly
• Your contact information (name, address, email, phone)
• A statement that you have a good faith belief the use is not authorized
• A statement that the information in the notice is accurate, under penalty of perjury
• Your physical or electronic signature

If your content was removed and you believe that was a mistake, you may file a counter-notice. Repeat infringers have their accounts terminated. Both procedures, and the copyright strike policy, are set out in full in our Copyright Policy.

Your use of Wittly is also governed by our Privacy Policy, which describes how we collect, use, and protect your personal information — including optional features such as Mood Map and Wittly Match. By using the Service, you consent to the practices described in the Privacy Policy.

Wittly may integrate with or link to third-party services (e.g., social media platforms for sharing). We are not responsible for the content, policies, or practices of third-party services. Your interactions with third-party services are governed by their own terms and privacy policies.

THE SERVICE IS PROVIDED "AS IS" AND "AS AVAILABLE" WITHOUT WARRANTIES OF ANY KIND, EXPRESS OR IMPLIED, INCLUDING BUT NOT LIMITED TO WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, AND NON-INFRINGEMENT.

We do not warrant that the Service will be uninterrupted, error-free, or secure, or that any defects will be corrected. We do not guarantee the accuracy, completeness, or usefulness of any content on the Service. We do not guarantee Match results, compatibility scores, or the conduct of other users.

TO THE MAXIMUM EXTENT PERMITTED BY LAW, WITTLY, INC. AND ITS OFFICERS, DIRECTORS, EMPLOYEES, AND AGENTS SHALL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, INCLUDING BUT NOT LIMITED TO LOSS OF PROFITS, DATA, USE, OR GOODWILL, ARISING FROM YOUR USE OF THE SERVICE.

IN NO EVENT SHALL OUR TOTAL LIABILITY EXCEED THE AMOUNT YOU HAVE PAID US IN THE TWELVE (12) MONTHS PRECEDING THE CLAIM, OR ONE HUNDRED DOLLARS ($100), WHICHEVER IS GREATER.

You agree to indemnify, defend, and hold harmless Wittly, Inc. and its officers, directors, employees, and agents from any claims, damages, losses, liabilities, and expenses (including reasonable attorneys' fees) arising from your use of the Service, your User Content, or your violation of these Terms.

You may stop using Wittly at any time by deleting your account through the app settings. We may suspend or terminate your account at any time, with or without cause, with or without notice. Upon termination, your right to use the Service ceases immediately. Pausing or leaving Wittly Match does not by itself delete your Wittly account.

Sections that by their nature should survive termination will survive, including ownership provisions, warranty disclaimers, indemnification, and limitations of liability.

These Terms shall be governed by and construed in accordance with the laws of the State of Delaware, United States, without regard to its conflict of law provisions. Any disputes arising from these Terms or the Service shall be resolved in the state or federal courts located in Delaware.

Before filing any legal claim, you agree to try to resolve the dispute informally by contacting us at contact@wittly.app. If the dispute is not resolved within 30 days, either party may proceed with formal legal action as described in Section 17 (Governing Law).

If any provision of these Terms is found to be invalid or unenforceable, that provision will be enforced to the maximum extent permissible, and the remaining provisions will remain in full force and effect.

These Terms, together with the Privacy Policy and any other policies referenced herein, constitute the entire agreement between you and Wittly, Inc. regarding the Service. These Terms supersede any prior agreements or understandings.
